Terms of Service

Last updated: September 19, 2026

These Terms of Service (“Terms”) govern your use of https://wincombpo.com/ and the professional services offered by Wincom (“we”, “us”, or “our”). By using this website or engaging our services, you agree to these Terms.

1. About our services

Wincom provides digital agency and BPO services, including web development, web design, digital marketing, content creation, graphics design, and call center and telemarketing support. Specific deliverables, timelines, fees, and scope are defined in a proposal, statement of work, order form, or other written agreement between you and us (each, a “Service Agreement”). If a Service Agreement conflicts with these Terms, the Service Agreement controls for that engagement.

2. Eligibility and accounts

You represent that you have authority to bind the business or person you act for. You are responsible for information you provide and for keeping login credentials confidential when we give you access to tools, staging sites, or shared workspaces.

3. Website use

You may browse this website for lawful purposes. You agree not to:

  • Attempt to disrupt, scrape in an abusive way, or gain unauthorized access to the site or related systems
  • Upload malware or harmful code
  • Misrepresent your identity or affiliation
  • Use site content in a way that infringes intellectual property or privacy rights

We may change, suspend, or discontinue site features at any time.

4. Proposals and engagement

Quotes and proposals are estimates unless stated as fixed. Work begins when both parties accept a Service Agreement and any required deposit is received. Changes to scope may affect fees and timelines and should be confirmed in writing.

5. Client responsibilities

You agree to provide timely feedback, approvals, brand assets, access credentials, and accurate information needed for the work. Delays on your side may extend delivery dates. You confirm that materials you supply (copy, images, personal data, customer lists, scripts) are lawfully obtained and that you have rights to use and share them with us for the engagement.

6. Fees and payment

Fees, billing milestones, and payment methods are set in the Service Agreement. Invoices are due as stated there. Late or failed payments may pause work. Unless otherwise agreed in writing, deposits are non-refundable once work has started. Taxes may apply in addition to quoted fees where required by law.

7. Intellectual property

Pre-existing tools, frameworks, libraries, templates, and know-how remain ours or our licensors’. Upon full payment for a deliverable, you receive the rights described in the Service Agreement to the custom work created specifically for you. Until payment is complete, we retain ownership of unpaid deliverables. Third-party licenses (fonts, plugins, stock media, platforms) remain subject to their own terms, and you are responsible for ongoing license fees unless we agree otherwise in writing.

8. Confidentiality

Each party may receive confidential information from the other. The receiving party will use it only for the engagement and will not disclose it to third parties except to personnel and subcontractors who need it and are bound by confidentiality duties, or as required by law. This duty does not cover information that is public, independently developed, or rightfully received from another source without duty of confidence.

9. Personal data and compliance

If you provide personal data for us to process (for example customer lists for outreach or support), you are the data controller unless a Service Agreement says otherwise. You must have a lawful basis to share that data. Our handling of personal data is also described in our Privacy Policy. You are responsible for call recording notices, consent, Do Not Call compliance, advertising claims, and other industry rules that apply to your campaigns and customer communications.

10. Marketing results and no guarantees

Digital marketing, content, design, and support work depend on many factors outside our control, including platform rules, market conditions, and your internal processes. Unless a Service Agreement expressly promises a specific result, we do not guarantee rankings, lead volume, sales, or other outcomes.

11. Subcontractors

We may use trusted subcontractors or team members to help deliver services. We remain responsible for their work under the Service Agreement.

12. Disclaimer

The website and services are provided on an “as is” and “as available” basis to the fullest extent permitted by law. We disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement, except where a Service Agreement states otherwise or where the law does not allow disclaimer.

13. Limitation of liability

To the fullest extent permitted by law, Wincom will not be liable for indirect, incidental, special, consequential, or lost-profit damages. Our total liability arising out of a Service Agreement or these Terms will not exceed the fees you paid to us for the specific services giving rise to the claim during the three months before the event. Some jurisdictions do not allow certain limits, so parts of this section may not apply to you.

14. Indemnity

You agree to defend and indemnify Wincom against claims arising from materials you provide, your misuse of the services, your customer communications, or your breach of these Terms or applicable law, except to the extent caused by our willful misconduct.

15. Termination

Either party may terminate an engagement as allowed in the Service Agreement. We may suspend or end website access or services if you breach these Terms, fail to pay, or create legal or security risk. Sections that by nature should survive (including fees owed, IP, confidentiality, limitation of liability, and indemnity) will survive termination.

16. Governing law

These Terms are governed by the laws applicable in our primary place of business, without regard to conflict-of-law rules, unless a Service Agreement names a different governing law. Courts in that jurisdiction will have exclusive venue for disputes, subject to any mediation or arbitration clause in a Service Agreement.

17. Changes

We may update these Terms by posting a revised version on this page and changing the “Last updated” date. For active Service Agreements, material changes that affect that engagement will be handled as stated in that agreement or by written notice.
